Governance Innovation

Oversight that still fits in a meeting

Boards are being asked to oversee more: software, privacy, suppliers, and the ordinary operating risk that used to stay in a plant report. The reflex is a new committee. Committees multiply faster than the calendar does.

The more durable change is smaller. A short list of decisions the board must see, a report that arrives before the meeting rather than after the incident, and a rule for what management may do without waiting. Innovation in governance is usually this kind of editing.

When the list is honest, directors stop discovering the important fact in the appendix. When it is not, another policy gets added and the meeting gets longer without getting clearer.
