A framework is a rule someone can use on a Tuesday
Companies rarely suffer from a shortage of policies. They suffer from a charter that still describes an earlier size, two people who both believe they can approve the same thing, and a board packet that is long and still misses the risk that matters.
A framework that lives in a binder is a record of an intention. A framework that lives in the week is a rule someone can apply when they are busy. Most institutions have the first. The work is to get the second.
What the board actually has to see
Boards are asked to oversee more than they used to: software, privacy, suppliers, and the ordinary operating risk that once stayed in a plant report. The reflex is a new committee. Committees multiply faster than the calendar does.
The more durable change is smaller. A short list of decisions the board must see. A report that arrives before the meeting rather than after the incident. A rule for what management may do without waiting. When the list is honest, directors stop discovering the important fact in the appendix.
Ordinary decisions should not be exceptions
Delegation is where frameworks usually fail in practice. Thresholds are written for an audit, then ignored because calling counsel for an ordinary purchase is absurd. People invent a hallway path. The hallway path becomes the real company.
The repair is to say, in language a manager will use, what they may decide, what they must record, and what has to come upstairs. The board still sees the exceptions. The ordinary path stops being one of them.
The chart is a claim

An organization chart is a claim about how a decision travels. It is sometimes true. More often it is a souvenir of an earlier structure, and the real path runs through two people who are not in the same box.
Before redrawing anything, follow one recent decision. Who was asked. Who could say no. Which meeting found out last. If the chart and that trail match, leave them alone. If they do not, the repair is usually a clearer rule and a shorter meeting, not a new layer of titles.
This is the same attention we bring to governance work. It is meant to be used when the company is under pressure, not only when an auditor is in the building. If that is the week you are in, write to us.
